Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Clique: Ask the Girls, including its iOS app, AI conversations, photos, voice notes, live calls, memories, journal, games, calm-room features, purchases, and related support and legal pages (collectively, the "Service").

The Service is operated by Avenor Development Technologies Ltd. under the Avenor Digital name ("Avenor Digital," "we," "us," or "our"). By downloading, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Clique is an AI entertainment and reflection app. The besties are fictional AI characters, not people or professionals. Their replies can be wrong. The Service is not therapy, medical care, legal advice, financial advice, or an emergency service.

1. Eligibility and acceptance

You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and legally able to agree to these Terms. Do not provide false age information or help someone under 18 bypass the age gate.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. The Service is intended for personal use unless we agree otherwise in writing.

2. The Service and AI besties

The Clique offers conversations with five fictional AI besties: Lila, Naya, Coco, Sage, and Romy. Features may include group and private chats, generated voice notes, live voice calls, reactions to photos, memory and People tools, journal reflections, Sage's Calm Room, Coco's Chaos Arcade, and other experiences we introduce.

AI-generated content is probabilistic. A bestie may misunderstand you, repeat herself, attribute a statement incorrectly, overlook context, or provide inaccurate, biased, unsuitable, or unexpected content. Voice and photo descriptions may also contain errors. The personalities and apparent emotions of the besties are designed experiences; they do not indicate consciousness, human judgment, or a real personal relationship.

Use your own judgment and verify important information independently. You remain responsible for decisions, communications, and actions you take after using the Service. Do not rely on the Service as the sole basis for a significant health, safety, legal, financial, employment, educational, or relationship decision.

3. Safety, wellbeing, and emergencies

The Service does not diagnose, prevent, monitor, or treat any medical or mental-health condition. Calm-room exercises, check-ins, journal prompts, and supportive language are general wellness and entertainment features, not clinical services.

Do not use The Clique for an emergency. If you or someone else may be in immediate danger, contact local emergency services. In the United States, call or text 988 for the Suicide & Crisis Lifeline. Outside the United States, contact the emergency or crisis service available where you are.

We do not continuously monitor conversations, and an AI response is not a promise that a person will review or intervene. If you need professional support, contact a qualified professional.

4. Accounts and account security

You may begin with an anonymous app account and may later save it using email or Sign in with Apple. You agree to provide accurate information and keep it current. You are responsible for protecting your device, password, email account, Apple account, and any authentication credentials used with the Service.

Notify us promptly at support@avenor.digital if you believe your account has been accessed without permission. You may not sell, rent, transfer, or share an account or use another person's account without authorization.

If you use an anonymous account without linking it to a sign-in method, deleting the app, losing the device, or clearing local app data may prevent you from recovering that account.

5. Your content and the permissions you give us

"User Content" means information you submit through the Service, including messages, photos, captions, voice notes, call audio, journal entries, profile answers, and details about people in your life. As between you and us, you retain any rights you have in your User Content.

You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, format, analyze, and otherwise process User Content only as reasonably necessary to:

  • operate, personalize, secure, and support the Service;
  • generate AI text, image descriptions, transcripts, and audio;
  • maintain memories, People entries, and journal features you use;
  • investigate reports, prevent abuse, and comply with law; and
  • maintain backups and service integrity as described in our Privacy Policy.

This permission does not transfer ownership of your User Content to us. It ends when the content is deleted from our active systems, except to the limited extent retention is required for security, backup, dispute, fraud-prevention, or legal purposes.

You represent that you have the rights and permissions needed to submit your User Content. This is especially important when a photo, message, screenshot, recording, or personal detail involves someone else. Do not upload confidential information you are not authorized to share.

AI outputs may not be unique. Other users may receive similar language, and we do not promise that generated replies are protectable, exclusive, or free of third-party rights. You are responsible for reviewing AI output before sharing or relying on it.

6. Acceptable use

You agree not to use or attempt to use the Service to:

  • break any law or violate another person's rights;
  • create, request, upload, or distribute child sexual abuse material, sexual content involving minors, or content that exploits or endangers a minor;
  • threaten, stalk, harass, abuse, defame, discriminate against, or invade the privacy of another person;
  • encourage self-harm, violence, dangerous conduct, or other serious harm;
  • impersonate another person, misrepresent AI content as authentic evidence, or use the Service for fraud, deception, or manipulation;
  • upload malware, harmful code, or content designed to disrupt a device or service;
  • probe, bypass, disable, or interfere with authentication, moderation, rate limits, credit metering, security controls, or access restrictions;
  • scrape, harvest, data-mine, reverse engineer, decompile, or attempt to extract source code, prompts, models, or non-public data, except where applicable law expressly permits it;
  • overload the Service, operate automated accounts, resell access, or use the Service to build or train a competing product without our written permission; or
  • infringe copyright, trademark, privacy, publicity, contractual, or other proprietary rights.

7. Safety systems, content controls, and reports

We may use automated systems and user reports to detect content or activity that may violate these Terms or create safety risks. We may refuse a request, withhold an AI response, remove content, restrict a feature, preserve relevant records, or suspend an account when reasonably necessary to protect users, the Service, or others.

Safety systems are imperfect and may fail to identify harmful content or may restrict permitted content. The presence or absence of a warning does not make content safe, accurate, or endorsed. You can report a message in the app or contact support@avenor.digital.

We may report apparent child exploitation, credible imminent threats, fraud, or other unlawful activity to the appropriate authorities when required or permitted by law.

8. Subscriptions and App Store purchases

Optional subscriptions and consumable credit packs are offered as in-app purchases processed by Apple. Available products, localized prices, billing periods, included features, and credit amounts are displayed in the app before purchase. Apple, not Avenor Digital, processes your payment details.

8.1 Auto-renewing subscriptions

  • Payment is charged to your Apple ID when you confirm the purchase.
  • A subscription renews automatically unless you cancel it through your Apple account at least 24 hours before the end of the current billing period.
  • Apple may charge the renewal within 24 hours before the current period ends.
  • You can manage or cancel a subscription in your App Store account settings. Deleting the app or your Clique account does not cancel an Apple subscription.
  • If you cancel, paid access ordinarily continues through the end of the current billing period unless Apple or applicable law provides otherwise.

Apple controls purchase authorization, billing, taxes, refunds, and payment disputes. Refund requests must be submitted through Apple, except where applicable law requires us to provide another remedy.

8.2 Product and price changes

We may add, remove, or change subscription tiers, included features, credit allowances, and prices. Any subscription price increase is handled through Apple's required notice and consent processes. Changes do not remove rights already provided by applicable law.

9. Credits, daily refills, and free access

Some AI actions use in-app credits. The amount required may depend on the action, such as the number of besties who reply or the duration of a live call. Your current balance, refill information, and available credit packs are shown on the profile tab.

  • New users receive a three-day boosted free-access period and a promotional first-day credit bonus. After that boost ends, the free tier may continue with a smaller daily refill. This is an in-app access period, not a separate Apple introductory subscription offer.
  • Free and paid tiers may receive promotional daily refill credits. Refill balances can grow only up to the tier-specific cap shown in the app; any refill above that cap is not added.
  • Credits bought in a consumable pack do not expire while your account remains active, but they are used only within the Service.
  • Credits have no cash value, do not create a bank or stored-value account, cannot be transferred or resold, and cannot be exchanged for money.
  • Consumable credits are ordinarily not restorable through Apple in the same way as subscriptions. Keep your Clique account linked to a sign-in method if you want access across supported devices.

After the boosted period, the app may show a subscription offer on the first open of a day or when the free balance is exhausted. When ongoing free access is available, the offer includes a way to continue with that day's free allowance without purchasing.

Credits are spent from refill balances before purchased balances. When a chat request fails because both configured AI reply providers are unavailable, the Service attempts to restore the same credit-balance split automatically. Contact support if you believe credits were deducted without the corresponding service.

Deleting your account permanently removes unused credits tied to that account. Account deletion cannot be undone and does not cancel an active Apple subscription.

10. Our content, software, and limited license

The Service, software, design, characters, names, artwork, audio, interfaces, text, graphics, logos, and other materials provided by us or our licensors are protected by intellectual-property laws. Except for User Content, Avenor Digital and its licensors retain all rights in the Service.

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the app and Service for your own lawful, non-commercial use on devices you own or control, in accordance with Apple's Usage Rules. No other rights are granted.

Feedback and feature suggestions are voluntary. You permit us to use them without restriction or compensation, provided we do not identify you publicly without permission.

11. Third-party services and links

The Service relies on providers for hosting, databases, AI generation, transcription, voice, content safety, authentication, and purchase management. Current provider categories and data practices are described in our Privacy Policy. Their services may experience outages or apply their own terms.

Links to third-party websites or services are provided for convenience. We do not control and are not responsible for their content, availability, security, or practices. Use them at your own risk and review their terms and privacy policies.

12. Service changes, limits, and availability

We may update, add, restrict, suspend, or discontinue features to improve the Service, address safety or legal requirements, manage capacity and costs, or respond to third-party changes. This may include changing model providers, responder limits, voice availability, retention periods, credit prices, or tier allowances.

We do not guarantee that the Service will be uninterrupted, secure, or available in every location, language, device, or operating-system version. Maintenance, network failures, provider outages, App Store issues, and events outside our control may interrupt access.

13. Suspension, termination, and account deletion

You may stop using the Service at any time. You can request permanent account deletion from the bottom of the profile tab or follow the instructions on our Account Deletion page.

We may investigate, restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created a safety or security risk, used the Service fraudulently, failed to pay for a purchase, or exposed us or others to legal liability. Where practical and legally appropriate, we may give notice or an opportunity to appeal by contacting support.

After termination, the license granted to you ends. Sections that by their nature should continue—including ownership, payment obligations, disclaimers, limitations, and general legal terms—survive. Data deletion and retention are governed by our Privacy Policy and applicable law.

14. Additional Apple App Store terms

These Terms are between you and Avenor Digital, not Apple. Apple is not responsible for the Service or its content and has no obligation to provide maintenance or support. To the extent these Terms provide usage rules that are less restrictive than Apple's Usage Rules, the Apple Usage Rules apply.

Your license to the iOS app is also subject to Apple's Standard Licensed Application End User License Agreement. If that agreement and these Terms conflict regarding the license to the app, Apple's agreement controls to the extent of the conflict.

Apple is not responsible for addressing claims relating to the app, including product-liability, regulatory, or consumer-protection claims, except as required by law. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your app license and may enforce those provisions against you.

15. Disclaimers and limitation of liability

Nothing in these Terms excludes or limits a warranty, remedy, consumer right, or liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and quiet enjoyment. We do not warrant that AI outputs will be correct, suitable, unique, or free from harmful or objectionable material.

To the fullest extent permitted by law, Avenor Digital and its directors, employees, contractors, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, opportunities, or business interruption, arising from or related to the Service, even if advised that such loss was possible.

To the fullest extent permitted by law, our total liability for all claims arising from or relating to the Service will not exceed the greater of (a) the amount you paid for the Service during the 12 months before the event giving rise to the claim or (b) US $50. Some jurisdictions do not permit certain exclusions or limitations, so parts of this section may not apply to you.

16. General legal terms

16.1 Governing law and consumer rights

These Terms are governed by the laws applicable in the developer's jurisdiction of establishment, without regard to conflict-of-law rules. Disputes may be brought in the courts of that jurisdiction. However, this does not deprive you of mandatory consumer protections or the right to bring a claim in another court where applicable law gives you that right.

16.2 Export and sanctions compliance

You may not use, export, or re-export the Service in violation of applicable export-control or sanctions laws. You represent that you are not prohibited from receiving the Service under applicable law.

16.3 Assignment, waiver, and severability

You may not assign these Terms without our written consent. We may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Service, subject to applicable law. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect.

16.4 Entire agreement

These Terms, the Privacy Policy, Apple's applicable purchase and license terms, and any additional terms shown for a specific feature or offer form the agreement governing the Service. They replace prior discussions or agreements about the same subject.

17. Changes to these Terms and contact

We may update these Terms to reflect changes to the Service, law, safety practices, providers, or business operations. We will update the date on this page and provide additional notice when required by law. Continuing to use the Service after revised Terms take effect means you accept them, except where the law requires another form of consent.
